Veracity-Engine Terms of Use

Welcome to Veracity-Engine. These Terms of Use ("Terms") govern your access to and use of our website, services, and software platform (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. The Veracity-Engine Service: A Tool for Augmentation
Veracity-Engine is a sophisticated software platform designed to augment the user's own work. It is a tool for legal research, document drafting, and practice management. It is not a law firm, does not provide legal services, and is not a substitute for a licensed attorney.
2. No Attorney-Client Relationship & Not Legal Advice (Disclaimer)
This is a critical distinction. Your use of the Service does not create an attorney-client relationship between you and Veracity-Engine. No information provided by the Service should be construed as legal advice. The platform provides legal information and drafting assistance based on user inputs; it does not and cannot provide personalized legal advice, which involves applying the law to a specific person's factual circumstances to recommend a course of action. The duties of loyalty, confidentiality (beyond our rigorous data security protocols), and zealous representation that define a legal relationship are absent.
Many users of the Service are licensed attorneys acting on behalf of their own clients. Nothing in these Terms or in your use of the Service creates an attorney-client relationship between you and Veracity-Engine. The architecture of the Service is, however, designed to be compatible with an attorney's use of a third-party technological agent in furtherance of the representation of that attorney's client, consistent with the principles articulated in United States v. Kovel, 296 F.2d 918 (2d Cir. 1961), and its progeny. In Private Mode (Sovereign Shield), the Service is engineered so that Veracity-Engine personnel cannot access the content of your prompts, documents, or AI Output; in BYOS, Veracity-Engine does not sit in the inference path and does not receive that content at all. Whether the attorney-client privilege or work-product doctrine in fact attaches to any particular communication or work product processed through the Service is a question of substantive law determined on the specific facts of use, the attorney's direction, and the law of the relevant jurisdiction. We make no representation or warranty that privilege or work-product protection will be preserved in any given matter, and users who are attorneys remain solely responsible for conducting their practice in a manner consistent with their professional and ethical obligations, including any duty to evaluate the technology they employ in the representation of a client.
3. User Responsibility and Final Authority
You, the user, are solely and ultimately responsible for any work product created using the Service. You are the final author and editor of any document, and you are responsible for exercising your own independent professional judgment in reviewing, validating, and finalizing any content. You represent and warrant that you have all necessary rights to the content you provide and that your use of the Service will comply with all applicable laws and professional rules of conduct.
Notwithstanding anything to the contrary in the foregoing, in no circumstances may Veracity-Engine be considered as a “publisher“ of any content created or generated through the Service. We do not endorse any user-generated content, and we assume no liability for any content created, uploaded, or made available by any user on or through the Service, for any use by any party, or for any loss or damage thereto. Furthermore, Veracity-Engine shall not be liable for any mistakes, defamation, falsehoods, or any other unlawful or infringing content you or any other party may encounter.
4. AI Services: Your Responsibilities
Certain features of the Service utilize generative artificial intelligence ("AI Services") to produce text and other content ("AI Output"). Your use of these AI Services is subject to the following conditions:
- AI Output Requires Review: AI Output is generated by machine learning models and may be inaccurate, incomplete, or not reflect the current state of the law. You are solely responsible for reviewing, editing, and verifying the accuracy and appropriateness of all AI Output before use or reliance.
- Nature of AI Output: You acknowledge that AI Output is not legal advice. Due to the nature of generative AI, the AI Output may not be unique, and other users may receive the same or similar results.
- No Guarantees: We make no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, or suitability of the AI Output for your specific needs.
5. Third-Party Services
The Service enables you to engage and connect with certain third-party services, most notably the foundational large language models (LLMs) that power our AI Services (collectively, “Third-Party Services”). The manner in which Third-Party Services process your data depends on the operational mode you select.
In Public Mode, your prompts and materials are transmitted to the foundation-model provider you select for inference, subject to contractual commitments we have negotiated with those providers (including no-training and zero-data-retention terms). In Private Mode (Sovereign Shield), inference executes inside a Trusted Execution Environment, and the foundation model operates on your data only within that boundary; the provider does not receive your prompts or AI Output in a form it can read or retain. In BYOS, you supply your own foundation-model credentials, and your relationship with that provider is governed exclusively by your contract with them; Veracity-Engine is not a party to that relationship and does not receive the content of your prompts or AI Output.
You acknowledge and agree that, regardless of the manner in which Third-Party Services may be offered to you, Veracity-Engine does not endorse any such Third-Party Services and shall not be in any way responsible or liable with respect thereto. Veracity-Engine will not be a party to, or in any way responsible for monitoring, any interaction or transaction between you and any Third-Party Services, except to the extent expressly set forth in a separate written agreement.
Any and all use of Third-Party Services is done at your own risk and responsibility and may be subject to the legal terms which govern such Third-Party Services, which you are encouraged to review before engaging with them. Veracity-Engine may, at any time and at its sole discretion, suspend, disable access to, or remove from the Service any Third-Party Services without any liability to you.
Subprocessor List. We maintain a current list of our operational subprocessors — the third-party vendors that handle billing, authentication, error telemetry, hosting, and email delivery — at /legal/subprocessors. None of these operational subprocessors have access to the content of your prompts, AI Output, or uploaded documents in Private Mode or BYOS. We will provide at least sixty (60) days' written notice before adding, replacing, or expanding the role of any subprocessor listed there, during which you may terminate this agreement without penalty.
5.5 Architectural Commitments
Veracity-Engine maintains the following architectural commitments for Sovereign Shield Private Mode (Enterprise and Professional tiers) and the Bring Your Own Stack (BYOS) tier:
- No AI-provider access during inference. The AI provider's technical capability to access user-submitted prompts, AI Output, or uploaded documents during inference is structurally prevented by hardware-isolation or browser-only execution, not solely by contractual restriction.
- Cryptographic attestation. For Enterprise and Professional tiers, isolation is attested by Platform Configuration Register (PCR) hashes available for the customer's verification at any time, produced via reproducible builds.
- BYOS exclusion. For the BYOS tier, inference executes in the customer's browser using the customer's own API credentials with the customer's chosen AI provider. Veracity-Engine is structurally excluded from the inference path. The customer's chosen AI provider receives inference content under the customer's own contract with that provider; that relationship is between the customer and the provider, and Veracity-Engine is not a party to it.
- 30-day notice for material changes. Veracity-Engine may not modify, weaken, or disclaim these architectural commitments as to communications generated under these tiers without thirty (30) days' written notice to affected customers, who may terminate the agreement without penalty upon receipt.
This Section 5.5 survives termination of this agreement as to communications generated during the term.
5.6 HIPAA and Business Associate Agreements
For Enterprise tier customers handling protected health information (PHI), Veracity-Engine offers a Business Associate Agreement (BAA) covering the dedicated Trusted Execution Environment and all related processing. The BAA is executable as part of the Enterprise tier engagement.
For BYOS tier customers, the customer's existing BAA with their AI provider applies to inference; Veracity-Engine orchestrates workflow but does not access content and therefore is not in the BAA chain.
For Public Mode and Professional tier customers, BAA terms vary by AI provider and tenancy posture. Contact legal@veracity-engine.com for specific applicability.
For context, certain leading legal-AI vendors disclaim HIPAA compliance for core features in their published terms; Veracity-Engine does not require such a disclaimer because our Sovereign Shield architecture does not use third-party subprocessors in the inference path for Private Mode or BYOS.
5.7 VE Direct BYOS: Your Subscription, Our Orchestration, and the IR License
This Section 5.7 applies when you use the BYOS configuration of VE Direct (as defined in Section 7.5) and supplements Section 5.5(3).
(a) You supply the model; you are responsible for it. In the BYOS configuration, inference runs on your own foundation-model subscription (for example, your own Claude subscription with Anthropic), operated through the Executor on your own machine. You are solely responsible for obtaining, maintaining, paying for, and complying with the terms of that subscription, including the applicable provider's terms of service, acceptable-use policy, and usage and rate limits. You represent that your use of your subscription through the Executor is permitted by your agreement with that provider. Veracity-Engine does not supply, resell, or provide the foundation model, and is not a party to your agreement with the provider.
(b) Orchestration only; Veracity-Engine is excluded from the inference path. Consistent with Section 5.5(3), Veracity-Engine's role in the BYOS configuration is Orchestration only. Veracity-Engine sequences and routes your verification workflow, but inference executes through your own subscription and credentials, and Veracity-Engine does not receive the content of your prompts or AI Output. The security-attestation features described in Section 5.5(2) and on our Security page are features of Private Mode and do not apply to the BYOS configuration, in which there is no Veracity-Engine enclave to attest.
(c) No liability for your subscription or your provider. Veracity-Engine is not responsible or liable for: your foundation-model subscription or its availability, cost, or billing; any act, omission, decision, or change by your provider (including Anthropic), including any rate-limiting, throttling, suspension, termination, model change, deprecation, or change to that provider's terms; or any interruption, degradation, or failure of VE Direct attributable to your subscription, your credentials, your network, or your machine. Section 5's allocation of responsibility for Third-Party Services applies to your foundation-model provider in the BYOS configuration.
(d) The IR License and Executor — limited, exclusive, revocable. Subject to your compliance with these Terms and timely payment of all applicable Fees, Veracity-Engine grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited license (the “IR License”) to download and operate the software component that bridges Veracity-Engine's orchestration to your local foundation-model subscription (the “Executor”) on your own machine, solely to connect your own foundation-model subscription to VE Direct and solely for use with the Service. The IR License does not permit, and you may not: (i) use the Executor on a standalone basis or for any purpose other than connecting your subscription to VE Direct; (ii) use the Executor with, or to provide inference to, any product or service other than the Service; (iii) reverse engineer, decompile, disassemble, modify, or create derivative works of the Executor, except to the extent that restriction is prohibited by applicable law; or (iv) copy, distribute, sublicense, sell, rent, or transfer the Executor or the IR License. The Executor and all rights in it are Veracity-Engine Intellectual Property under Section 6. Veracity-Engine may revoke the IR License and disable the Executor at any time upon your breach of these Terms, upon termination of your VE Direct subscription, or as otherwise provided in Section 9.1. This Section 5.7 survives termination as to obligations that by their nature should survive (including subsections (a), (c), and the use restrictions in (d)).
6. Intellectual Property
Our Intellectual Property: All rights, title, and interest in and to the Service, including any and all copyrightable materials or any other content thereof which is or may be subject to any intellectual property rights under any applicable law (including any artwork, graphics, images, source and object code, computer code, applications, audio, music, video, designs, animations, interfaces, "look and feel," methods, products, algorithms, data, interactive features, inventions, trade secrets, logos, domains, trademarks, service marks, and other proprietary identifiers), and any derivations thereof, are owned by and/or licensed to Veracity-Engine (collectively, “Intellectual Property”). Subject to your full compliance with these Terms and timely payment of all applicable fees, we hereby grant you a non-exclusive, non-transferable, non-sublicensable, fully revocable, limited license to use the Service solely as expressly permitted under these Terms. These Terms do not convey any right or interest in or to our Intellectual Property except for the limited license expressly granted above.
Your Content: You retain all intellectual property rights to the factual content, documents, and other materials you create, upload, and store within the Service ("Your Content"). You grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing and improving the Service to you.
AI-Generated Content: As between you and Veracity-Engine, you are the owner of the AI Output generated from your prompts. However, you acknowledge that your ownership may be subject to the rights of third-party foundational model providers and the non-unique nature of AI-generated content. You are responsible for ensuring that your use of the AI Output complies with all applicable laws and does not infringe on the rights of any third party.
7. User Accounts
The Service is available only to users who are (a) at least eighteen (18) years of age, (b) able to form a legally binding contract, and (c) a licensed attorney, paralegal, law student, or other legal professional authorized to use legal-research tools in the user's jurisdiction. To access the Service, you must create an account. You agree to provide accurate, complete, and current information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account.
7.5 VE Direct: Product Scope and Limitations
Veracity-Engine offers a distinct, self-serve product tier marketed as “Veracity-Engine Direct” or “VE Direct.” VE Direct is part of the Service and is governed by these Terms in their entirety, except where a provision is by its terms limited to a particular product or tier. VE Direct is made available in two billing configurations: (a) a prepaid, usage-metered configuration in which inference executes in Private Mode (Sovereign Shield) and is drawn down against a prepaid balance (the “Pay-As-You-Go” or “PAYG” configuration, and such prepaid balance, “Prepaid Credits”); and (b) a fixed monthly-subscription configuration in which inference executes through your own foundation-model subscription by means of a local executor that Veracity-Engine orchestrates (the “Bring-Your-Own-Subscription” or “BYOS” configuration). Veracity-Engine's role in both configurations is limited to “Orchestration” — sequencing prompts, managing verification workflow, and routing results — and in the BYOS configuration expressly excludes the supply of, or any participation in, the inference itself.
VE Direct is a limited, single-user, self-serve product. It is not the full Veracity-Engine platform, and your access to or payment for VE Direct does not entitle you to the full Veracity-Engine platform or to any of its features. Without limiting the generality of the foregoing, VE Direct does not include, and your VE Direct account confers no right to, any of the following: (a) the firm dashboard or workspace; (b) matters, matter management, or matter-scoped storage; (c) teams, multi-seat access, organization administration, or role-based access controls; (d) the knowledge base, document library, or persistent reference-document storage; (e) any practice-management, deadline, billing, or collaboration features of the full platform; or (f) any enterprise or professional-tier commitment, service level, or contractual term that is, by its terms, extended only to those tiers. Access under VE Direct is limited to the single self-serve surface made available at the VE Direct product page and to the verification and drafting functions presented there. Each VE Direct account is for the use of one (1) identified individual and operates in one (1) configuration (PAYG or BYOS) at a time; it is not a substitute for, and may not be aggregated, pooled, or combined with, any platform subscription. Veracity-Engine may modify, limit, or discontinue any VE Direct feature, and may adjust posted usage caps and rate limits, in its discretion, subject to the notice obligations expressly stated in these Terms.
The architectural commitments in Section 5.5 apply to VE Direct according to their terms: the PAYG configuration operates in Private Mode (Sovereign Shield) and is covered by Section 5.5(1)–(2) and (4); the BYOS configuration is covered by Section 5.5(3)–(4) and Section 5.7. For the avoidance of doubt, VE Direct does not operate in Public Mode.
8. Fees, Subscriptions, and Chargebacks
Fees: Certain features of the Service require payment of fees ("Fees"). By selecting a paid subscription plan, you agree to pay all applicable Fees. All Fees are non-refundable except as required by law.
Subscriptions & Renewals: Subscriptions automatically renew at the end of each billing cycle unless you cancel through your account management page before the renewal date. For subscriptions with a term of one year or longer, we will send a pre-renewal reminder by email at least fifteen (15) days before the renewal date. We will provide at least thirty (30) days' advance notice by email of any price increase applicable to your subscription, and any such increase will take effect at your next renewal.
Chargebacks: If we record a decline, chargeback, or other rejection of a charge of any payable Fees on your account ("Chargeback"), this will be considered a breach of your payment obligations. Your use of the Service may be automatically disabled or terminated. In the event a Chargeback is performed, your account may be blocked, and any data contained within may be subject to cancellation. Your access will not resume until you re-subscribe and pay any applicable Fees in full, including any expenses incurred by us for each Chargeback. We reserve the right to dispute any Chargeback by providing the relevant financial institution with information proving the transaction was authorized by you.
8.1 VE Direct Billing: Prepaid Credits and BYOS Subscription
Section 8 applies to VE Direct. The following terms apply specifically to VE Direct Fees.
(a) PAYG Prepaid Credits. In the PAYG configuration, you purchase Prepaid Credits in advance, and usage of VE Direct draws down your Prepaid Credit balance at the rates posted on the VE Direct product page or your Account page at the time of use. Prepaid Credits are a prepaid balance for use of the Service, are not a deposit, are not redeemable for cash, and have no value except as applied to VE Direct usage. Consistent with Section 8, Prepaid Credits are non-refundable, including once consumed; and, as provided in Section 9.1, are non-refundable (whether consumed or unconsumed) upon suspension or termination for breach. Prepaid Credits may be subject to a posted expiration period, which, if applicable, will be disclosed at the time of purchase.
(b) BYOS Subscription. In the BYOS configuration, you pay a subscription Fee of US$200 per month (or such other amount as is posted at the time you subscribe), billed in advance for each monthly billing period. The subscription includes Orchestration of inference run on your own foundation-model subscription, subject to a posted monthly usage cap. If you reach the posted cap within a billing period, VE Direct may suspend further use until the next billing period or until you upgrade or purchase additional capacity, in each case as offered on your Account page; Veracity-Engine does not assess automatic overage charges unless you affirmatively elect a paid overage or higher-capacity option. The cap governs Orchestration through VE Direct only and is independent of any limit imposed by your own foundation-model provider, which is governed by Section 5.7.
(c) Renewal, cancellation, and price changes. The BYOS subscription automatically renews each month in accordance with Section 8 unless you cancel before the renewal date through the cancellation method made available for VE Direct (which, for the self-serve VE Direct product, may be your Account page or the cancellation link provided to you). Cancellation takes effect at the end of the then-current monthly billing period, consistent with Section 9; you retain access through the end of that period and are not charged for the next renewal. The price-increase notice provision of Section 8 applies to the BYOS subscription. Prepaid Credits and the BYOS subscription are otherwise governed by the non-refund, Chargeback, and renewal provisions of Section 8.
(d) No refund on breach-termination. Notwithstanding cancellation rights under Section 9 or this Section 8.1, no Prepaid Credits and no portion of any subscription Fee are refundable upon suspension or termination for breach as provided in Section 9.1.
9. Cancellation and Termination
Cancellation by User: You may cancel your account or any Service at any time through your account management page. Cancellation takes effect at the end of the then-current billing period for which you have already paid, and you will not be charged for the next renewal. No minimum notice period is required, and no telephone call or written request is necessary to cancel.
Termination by Veracity-Engine: Failure to comply with any of these Terms or to pay any due Fee shall entitle Veracity-Engine to suspend (until full payment is made) or terminate your account and access to the Service.
9.1 VE Direct Termination and Effect
In addition to the rights stated in Section 9, Veracity-Engine may immediately suspend or terminate your access to VE Direct, in whole or in part, and may immediately revoke the IR License and disable the Executor, upon your breach of Section 10.1 or any other provision of these Terms applicable to VE Direct, without prior notice and without any obligation to provide a cure period. Because VE Direct involves active, on-demand inference, suspension or revocation may take effect during a session in progress. Upon any such suspension or termination for breach: (i) you forfeit, and Veracity-Engine is not obligated to refund or credit, any Prepaid Credits, whether consumed or unconsumed; (ii) you forfeit, and Veracity-Engine is not obligated to refund or credit, any portion of any subscription Fee paid for the then-current billing period; and (iii) any IR License terminates automatically and you must cease all use of, and delete, the Executor. The non-refund provisions of this Section 9.1 are an agreed allocation of risk reflecting the prepaid, self-serve nature of VE Direct and are without prejudice to any other remedy available to Veracity-Engine. This Section 9.1 does not enlarge any refund right; refunds required by applicable mandatory law are unaffected.
10. Acceptable Use Policy
You agree not to misuse the Service or help anyone else to do so. You agree not to:
- Generate or disseminate content that is unlawful, defamatory, harassing, or fraudulent.
- Violate the intellectual property rights of others.
- Probe, scan, or test the vulnerability of any system or network.
- Breach or otherwise circumvent any security or authentication measures.
- Use the Service for any purpose that violates the applicable rules of professional conduct for lawyers in any relevant jurisdiction.
10.1 VE Direct Acceptable Use (Supplemental)
The Acceptable Use Policy in Section 10 applies to VE Direct in full. In addition, and without limiting Section 10, when you use VE Direct you agree that you will not, and will not permit or enable any other person to:
(a) Benchmarking and competitive evaluation. Access or use VE Direct, or any AI Output, for the purpose of benchmarking, competitive evaluation, performance comparison, or feature comparison against any product or service, or to compile, publish, or disseminate any benchmark, scorecard, accuracy metric, latency metric, or comparative performance claim concerning VE Direct, without Veracity-Engine's prior written consent. As used in this Section, “benchmarking” means any systematic measurement, scoring, or comparison of VE Direct's outputs, accuracy, speed, capacity, or behavior, whether automated or manual, conducted other than in the ordinary course of your own legal work;
(b) Overuse beyond posted caps. Exceed, or attempt to exceed, the usage caps, rate limits, or fair-use thresholds posted for your configuration on the VE Direct product page or your Account page, or use VE Direct in a manner that imposes an unreasonable or disproportionate load on the Service relative to ordinary individual legal use;
(c) Model and product development. Use AI Output, or any input, prompt, response, or other data obtained through VE Direct, to train, fine-tune, distill, evaluate, or otherwise develop or improve any machine-learning model, dataset, or any product or service that competes with VE Direct or the Service. This restriction is in addition to, and does not limit, your obligations under Section 6;
(d) Reverse engineering, scraping, and automation. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of VE Direct, the Executor, or any part of the Service, except to the extent this restriction is prohibited by applicable law; or scrape, harvest, crawl, or use any robot, script, or other automated means to access VE Direct or to extract AI Output, except through any interface Veracity-Engine expressly provides for that purpose; or
(e) Sharing, resale, and sublicensing. Share, transfer, sell, resell, rent, lease, sublicense, or make available your Account, your credentials, your Prepaid Credits, or the Executor or IR License to any other person; or use VE Direct to provide a service to, or process work on behalf of, any third party as if VE Direct were your own product or a service bureau.
The restrictions in this Section 10.1(c)–(e) survive termination or expiration of your VE Direct access.
11. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, whether express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Veracity-Engine does not warrant that the Service will be uninterrupted, secure, or free from errors, viruses, or other harmful components. You agree that your use of the Service is at your own risk. We do not warrant, endorse, guarantee, or assume responsibility for any content, including the AI Output, and we will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services.
11.1 VE Direct Disclaimer of Warranties (Supplemental)
Section 11 applies to VE Direct in full, in both the PAYG and BYOS configurations and regardless of operational mode. Without limiting Section 11: VE Direct, including its verification and citation-checking functions, is provided on an "AS IS" and "AS AVAILABLE" basis. Veracity-Engine's verification functions are designed to assist your review; they identify and flag potential issues with the authorities and content presented to them, but they are not a substitute for your independent review and do not warrant that any authority, citation, or statement in the AI Output is accurate, current, complete, or legally sufficient, and they do not warrant that every issue has been identified. As provided in Sections 3 and 4, you remain the final author and editor of your work product and are solely responsible for reviewing, validating, and verifying all AI Output before use or reliance. In the BYOS configuration, Veracity-Engine does not warrant that your foundation-model subscription will be available, uninterrupted, or sufficient for any level of use, and does not warrant the output of your own subscription.
12. Indemnification
You agree to indemnify and hold harmless Veracity-Engine and its officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with your access to or use of the Service or Your Content, or your violation of these Terms.
13. Limitation of Liability
To the fullest extent permitted by law, in no event shall Veracity-Engine, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.
In no event shall the aggregate liability of Veracity-Engine for all claims relating to the Service exceed the greater of one hundred U.S. dollars ($100) or the total amount of fees paid by you to Veracity-Engine in the three (3) months immediately preceding the event giving rise to the claim.
13.1 VE Direct Limitation of Liability (Supplemental)
Section 13 applies to all claims relating to VE Direct, including the exclusion of indirect, incidental, special, consequential, and punitive damages and the aggregate liability cap. For purposes of the cap in Section 13, Prepaid Credits and VE Direct subscription Fees that you have paid to Veracity-Engine are “fees paid by you to Veracity-Engine” and are counted only to the extent paid within the three (3) months immediately preceding the event giving rise to the claim. Without limiting Section 13, Veracity-Engine shall have no liability for: (a) the loss or forfeiture of Prepaid Credits or subscription Fees under Section 9.1; (b) in the BYOS configuration, any matter described in Section 5.7(c), including any act, omission, rate-limit, suspension, or change by your foundation-model provider; or (c) any error, omission, or inaccuracy in AI Output, or any failure of a verification function to identify an issue, your responsibility for which is allocated to you under Sections 3, 4, and 11.1.
14. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, Veracity-Engine reserves the sole and exclusive right to elect the forum for resolution. At our discretion, we may require that the dispute be resolved by either (a) final and binding arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules, with the seat of arbitration in the Dubai International Financial Centre (DIFC), the language of the proceedings in English, and a single arbitrator, or (b) litigation in the DIFC Courts. You irrevocably submit to the personal jurisdiction of the DIFC Courts for the purpose of litigating all such claims or disputes and waive any objection to venue or inconvenient forum. Notwithstanding the foregoing, you may assert claims in the DIFC Courts Small Claims Tribunal if your claims qualify.
15. Class Action Waiver
Subject to any applicable law, all disputes between you and Veracity-Engine shall only be resolved on an individual basis and you shall not have the right to bring any claim against Veracity-Engine as a plaintiff or a member of a class, consolidated or representative actions (or any other legal proceedings conducted by a group or by representatives on behalf of others). If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that a dispute can proceed on a class basis, then the dispute must be brought exclusively in the DIFC Courts and the arbitration provision in Section 14 shall be deemed null and void with respect to such dispute.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), notwithstanding any conflict of law provisions.
17. Assignment
You may not assign any of your rights or delegate your obligations under these Terms, whether by operation of law or otherwise, without our prior written consent. We may assign these Terms in their entirety, without your consent, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
18. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
